Description:

The In-House Legal Counsel provides legal advice and services on a wide range of contract, business and operational matters. You will work closely with the Board and senior leadership to identify and mitigate legal and risk issues across the firm. In addition, the In-House Legal Counsel will contribute to both short- and long-term strategic initiatives, helping to align legal considerations with broader firm goals. This position is based in Portsmouth, NH and requires a Juris Doctor (JD) as well as active admission to practice law in the state of New Hampshire.

What You’ll Do

• Advise on regulatory, compliance, employment, and corporate law issues affecting the firm.
• Draft, review, and negotiate contracts, NDAs, leases, and other key legal documents.
• Monitor legislative and regulatory developments and implement appropriate compliance strategies.
• Collaborate with departments across the firm to ensure legal and regulatory alignment.
• Oversee litigation, regulatory inquiries, and customer complaints.
• Serve as Corporate Secretary, managing governance processes, board meetings, and corporate filings.
• Contribute to the firm’s risk strategy as a member of the Risk Committee.
• Supervise junior legal staff and manage relationships with outside counsel.
• Stay current on legal trends through ongoing professional development.

What You’ll Bring

• Juris Doctor required
• Admitted to practice law in New Hampshire
• 5-7 years post-bar professional legal experience
• Corporate law experience, with in-house corporate legal experience a plus
• Knowledge of investment adviser regulatory requirements is preferred
