Job Description

Our client, a nationally recognized law firm with a top-ranked corporate practice, is seeking a Junior Corporate Associate with at least one year of experience to join its Cleveland office. Responsibilities:

• Support senior attorneys on mergers and acquisitions, joint ventures, and other complex corporate transactions.
• Draft and negotiate purchase agreements, disclosure schedules, governance documents, and ancillary transaction documents.
• Assist with due diligence reviews and the preparation of related reports.
• Work with clients on general commercial matters including contract drafting, corporate governance, and entity formation.
• Participate in client meetings, internal strategy sessions, and negotiations.

Qualifications:

• J.D. with strong academics
• Admission to the Ohio bar (or willingness to obtain admission promptly).
• Minimum 1 year of relevant experience at a law firm in corporate transactional work, particularly M&A and/or commercial transactions.
• Excellent communication and drafting skills.
